Welcome to ShareCode. These Terms of Service ("Terms") govern your access to and use of the ShareCode website located at sharecode.in, all associated content, and all ShareCode products and services made available at or through these websites (collectively, the "Services"). Our Services include a free real-time code sharing and collaborative editing platform supported by advertising. These Terms also apply to any content created by users of our Services, such as code hosted on ShareCode. By accessing or using any portion of our Services, you agree to be bound by these Terms and all additional operating guidelines, privacy policies, and procedural rules that ShareCode may publish from time to time (collectively, the "Agreement"). The Agreement shall also apply to any future updates or upgrades to our Services, and you consent to receiving such automatic upgrades. Please read the Agreement carefully before using or accessing our Services. If you do not agree to all of the terms and conditions set forth in the Agreement, you are not permitted to access or use our Services.

1. Definitions

"You" and "User" refer to any individual or legal entity that accesses or uses our Services. If you are accessing our Services on behalf of an organization or entity, you represent and warrant that you have the authority to bind that entity to this Agreement, and that such entity agrees to be bound by these Terms. "ShareCode," "we," "us," and "our" refer to ShareCode and its operators. "Content" refers to any code, text, data, files, images, or other materials uploaded, submitted, or made available through the Services.

2. Your Account

To access certain features of our Services, you may be required to create an account. When creating an account, you agree to provide accurate, current, and complete information, and to update such information as necessary to keep it accurate and complete. You are solely responsible for safeguarding your account credentials and for all activities that occur under your account. You must not share your access credentials with any third party or permit unauthorized use of your account. You agree to notify us immediately of any unauthorized access to or use of your account or any other security breach. ShareCode shall not be liable for any loss or damage arising from your failure to maintain the confidentiality of your account credentials. You may opt out of receiving marketing communications at any time by following the unsubscribe instructions included in such communications.

3. Minimum Age Requirements

Our Services are not directed to children. You must be at least 13 years of age (or 16 years of age in the European Union) to access or use our Services. If you are under the applicable minimum age, you may not create an account or use our Services. By registering for an account or submitting personal information through our Services, you represent and warrant that you meet the applicable minimum age requirement.

4. Responsibility of Users

ShareCode has not reviewed and is unable to review all Content uploaded, submitted, or made available by users through the Services, and ShareCode is not responsible for such Content or its use. You acknowledge that:

  • ShareCode does not endorse, represent, or guarantee the accuracy, completeness, reliability, or usefulness of any Content. Content may contain technical inaccuracies, typographical errors, or other mistakes, and may infringe upon the privacy, publicity, intellectual property, or other proprietary rights of third parties.
  • You are solely responsible for all Content that you upload, submit, or make available through the Services, and for any harm or liability resulting therefrom.
  • ShareCode shall not be liable for any loss or damage arising from any Content accessed, downloaded, or used through the Services. You are responsible for implementing appropriate safeguards to protect your systems from viruses, malware, and other harmful content.
  • ShareCode is not a party to and shall not be liable for any disputes, transactions, or interactions between you and any other user or third party.
  • Your use, download, or purchase of Content may be subject to additional third-party terms and conditions.
  • 5. Fees and Services

    a. Free Services

    ShareCode is a free-to-use platform. All core features, including real-time code sharing, collaborative editing, code space creation, and code downloads, are provided at no cost to users. We are able to offer these Services for free because our platform is supported by advertising revenue, including advertisements served through Google AdSense and other third-party advertising partners.

    We reserve the right to introduce premium or paid features in the future. If we do, we will clearly communicate the pricing, terms, and conditions applicable to any such paid services before you are charged.

    6. Advertising and Third-Party Ads

    ShareCode uses third-party advertising companies, including Google AdSense, to serve ads when you visit our website. By using our Services, you acknowledge and agree to the following regarding advertising:

  • Third-Party Advertising. We use Google AdSense and other third-party advertising networks to display advertisements on our platform. These advertisements help fund the free services we provide to you.
  • Cookies and Web Beacons. Third-party ad networks, including Google, use cookies to serve ads based on your prior visits to our website or other websites.   • No Fraudulent Clicks. You agree not to click on advertisements displayed on ShareCode in a fraudulent, automated, or deceptive manner, or encourage others to do so. Any attempt to artificially inflate ad clicks or impressions is strictly prohibited and may result in immediate termination of your account.
  • Ad Blockers. While we respect your right to use ad-blocking software, please understand that advertising revenue is what allows us to keep ShareCode free for all users. We encourage you to whitelist ShareCode if you find our services valuable.
  • 7. Acceptable Use and Representations

    You represent and warrant that your use of our Services:

  • Will comply with these Terms and all applicable provisions of the Agreement;
  • Will comply with all applicable laws and regulations, including without limitation those governing online conduct, content standards, privacy, data protection, the transmission of technical data, consumer protection, unfair competition, and false advertising;
  • Will not be used to post, upload, or transmit any unlawful content or to further any illegal activity;
  • Will not infringe upon or misappropriate the intellectual property rights or other proprietary rights of any third party;
  • Will not place an unreasonable or disproportionately large load on ShareCode's infrastructure, as determined in our sole discretion;
  • Will not disclose the personal or sensitive information of any other individual without their consent;
  • Will not be used to create, distribute, or enable material that is, or that facilitates or operates in conjunction with, malware, spyware, adware, or other malicious programs or code;
  • Will not be used to interfere with, disrupt, or attack any service, network, or system.
  • 8. ShareCode Platform and Accounts

    a. ShareCode Websites and Accounts

    ShareCode provides a real-time collaborative code editor that allows users to create, share, and edit code spaces. You retain ownership of the Content you create using our platform. However, you are solely responsible for ensuring that your Content does not include prohibited materials such as spam, malware, or threats of violence. ShareCode will make reasonable efforts to delete Content that you remove from public display, but you acknowledge that cached copies or references to such Content may persist temporarily.

    9. Copyright Infringement and DMCA Policy

    ShareCode respects the intellectual property rights of others and expects its users to do the same. If you believe that any Content available on or through our Services infringes your copyright, please contact us at sharecodelive@gmail.com. Upon receipt of a valid notice, we will respond by removing the infringing material or disabling access to it. ShareCode reserves the right to terminate the accounts of users who are found to be repeat infringers of intellectual property rights.

    10. Intellectual Property

    All intellectual property rights in and to the Services, including but not limited to the ShareCode name, logo, trademarks, service marks, designs, and underlying technology, are and shall remain the exclusive property of ShareCode or its licensors. Nothing in this Agreement transfers any such intellectual property rights to you. All other trademarks, service marks, and logos used in connection with our Services are the property of their respective owners. You are not granted any right or license to use any ShareCode or third-party trademarks through your use of our Services.

    11. Third-Party Services

    You may enable or utilize third-party services (also known as "Third Party Services") on your website while using the Services, including any services, goods, software (such as themes or plugins), embeds, or applications that you have created. By using any Third Party Services, you agree to the following:

  • You use any Third Party Services at your own risk; we are not accountable to you or anyone else for Third Party Services.
  • The terms and policies of the specific third party (the "Third Party") shall apply to your use and are the only agreements between you and the Third Party. Before utilizing a Third Party Service, it is your duty to examine the Third Party's terms and rules.
  • Some Third Party Services could ask for or demand access to your data (or the data of your visitors or clients), for instance, through a pixel or cookie. Your data will be treated in line with the Third Party's privacy policies and procedures if you use the Third Party Service or provide access. We are not in charge of how a Third Party Service could utilize your information. Before activating Third Party Services, you should carefully research their data collecting, retention, and usage policies and practices.
  • It's possible that Third Party Services won't function properly with your website, and we might not be able to offer help for any problems brought on by any Third Party Services.

  • We have the right to suspend, disable, or delete Third Party Services from your account or website in exceptional circumstances.
  • 12. Changes to These Terms

    ShareCode reserves the right to modify these Terms at any time. If we make material changes, we will notify you by posting a notice on our website, sending you an email, or through other reasonable means prior to the changes taking effect. The notification will specify a reasonable period after which the revised Terms will become effective. If you do not agree with the revised Terms, you must discontinue your use of our Services before the changes take effect. Your continued use of our Services after the effective date of the revised Terms constitutes your acceptance of such changes.

    13. Termination

    ShareCode may terminate or suspend your access to all or any portion of the Services at any time, with or without cause, with or without prior notice, and with immediate effect. Without limiting the foregoing, ShareCode reserves the right, in its sole discretion, to: (i) reclaim your username or code space URL due to prolonged inactivity; (ii) refuse or remove any Content that violates any ShareCode policy or is otherwise harmful or objectionable; (iii) impose limits on the resources your account may consume or terminate your access to the Services if your usage is deemed excessive; and (iv) deny any person or entity access to any of our Services for any reason. If you wish to terminate this Agreement, you may do so by discontinuing your use of our Services. All provisions of this Agreement that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.

    14. Disclaimer of Warranties

    THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." SHARECODE AND ITS SUPPLIERS AND LICENSORS HEREBY DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NEITHER SHARECODE NOR ITS SUPPLIERS OR LICENSORS MAKES ANY WARRANTY THAT THE SERVICES WILL BE ERROR-FREE OR THAT ACCESS THERETO WILL BE CONTINUOUS OR UNINTERRUPTED. YOU ACKNOWLEDGE THAT YOU ACCESS THE SERVICES AND DOWNLOAD CONTENT AT YOUR OWN RISK AND DISCRETION.

    15. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SHARECODE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; OR (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

    16. Indemnification

    You agree to indemnify, defend, and hold harmless ShareCode, its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (i) your access to or use of the Services; (ii) your violation of these Terms; (iii) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; or (iv) any Content you upload, submit, or make available through the Services.

    17. Governing Law and Dispute Resolution

    This Agreement and any disputes arising out of or relating to it or the Services shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in India. You agree to submit to the personal jurisdiction of such courts for the purpose of litigating any such disputes.

    18. Severability

    If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from this Agreement. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions of this Agreement.

    19. Entire Agreement

    This Agreement, together with the Privacy Policy and any other policies or guidelines published by ShareCode, constitutes the entire agreement between you and ShareCode with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written, between you and ShareCode regarding the Services.
